Job Accountabilities & Management Responsibilities:
Acting as the head of the Legal Directorate in the Legal Director’s absence as and when delegated
Manage the Ethics & Compliance Department in NCOC’s Legal Directorate to provide ethics & compliance advice and support in a pro-active, timely, cost-effective and professional manner;
Develop the work plan for the Ethics & Compliance Department, organise and prioritise resources, and manage the execution of work conducted in the Department;
Ensure the Department is adequately staffed;
Establish and monitor staff performance and development goals, assign accountabilities, set objectives, conduct mid-year reviews and annual performance appraisals;
Mentor and develop staff using a supportive and collaborative approach, monitor and evaluate results;
Establish and maintain NCOC’s compliance programme, based on its General Business Principles, Code of Conduct and ABC Manual, and provide training to all staff;
Ensure that ethics & compliance considerations, including mitigation of ethics & compliance risks identified by the Department, are taken into account in operations, planning activities, contracting, new business/project development, relations with the Republic of Kazakhstan (RoK) government and other relevant third parties;
Support ethics & compliance litigation and other legal action to protect, defend and preserve the reputation and assets of NCOC and the Contractor under the NCSPSA;
Receive, follow up, track and report any issues or violations reported in NCOC and oversee related investigations;
Monitor relevant ethics & compliance developments and communicate these to the business and functional Directorates;
Give advice on compliance with NCOC’s ethics & compliance programme, and relevant RoK and other applicable compliance laws, to the business and functional Directorates;
Chair the Compliance Committee, report on ethics & compliance matters to APAC and contribute to other relevant intra-Venture committees and sub-committees;
Represent NCOC in meetings and negotiations with the Authority, other RoK governmental bodies and other third parties;
Review of relevant Managing Director correspondence;
Liaise with shareholders’ lawyers and compliance officers on relevant ethics & compliance issues;
Refer matters to, and manage, external counsel.
Qualification Requirements:
University degree, preferably in law, finance, accounting
Minimum of 10 years of relevant experience, including in a managerial role.
