Job Accountabilities:

  • Provision of materials for meetings of the Board of Directors;
  • Accounting and storage of correspondence sent to the Board of Directors and its Committees, preparation of responses to incoming requests, archiving of all documents (materials) The Board of Directors of the Company (electronic archive);
  • Preparation of materials on training and professional development of the Corporate Secretary;
  • Formation of contracts and additional agreements with Independent Directors;
  • Ensuring proper preparation of materials on the agenda of the Board of Directors meeting, including compliance with the procedures for preparing materials, preliminary discussion with all interested structural divisions, taking into account the requirements of internal documents;
  • Organization of support for the activities of the Committees, holding meetings of the Board of Directors in accordance with the requirements of the legislation, the Charter and internal documents;
  • Forwarding of decisions of the Board of Directors to the relevant structural divisions and officials;
  • Collection and accounting of information regarding members of the Board of Directors necessary for submission to the relevant structural divisions in order for them to form a report on affiliated companies and provide information to the relevant authorized bodies in accordance with the procedure established by the legislation of the Republic of Kazakhstan and internal documents.

 

Qualification requirements:

  • Kazakh and Russian, English – written and conversational – advanced level;
  • Excellent knowledge of translation specifics; Knowledge of the main components of the MS Office suite: Word, Excel, PowerPoint, Microsoft Outlook. Legislation on joint-stock companies, administrative offenses, and anti-corruption;
  • Internal labor regulations;
  • Rules and regulations of labor protection, safety, industrial sanitation and fire protection.
